EclipseDesk Terms of Service

These Terms of Service are a legal agreement between EclipseDesk ("EclipseDesk," "we," "us," or "our") and the business or person using EclipseDesk ("customer," "you," or "your"). These terms are written in plain English, but they are still binding.
1. Acceptance
By clicking "I agree" at checkout, signing up, paying for EclipseDesk, connecting an account, or using the service, you agree to these Terms and our Privacy Policy.
You confirm that you are at least 18 years old and have authority to accept these Terms for your business.
We may update these Terms by giving you at least 30 days' notice by email. If you keep using EclipseDesk after the notice period, you accept the updated Terms. If a change materially hurts your rights or the value of your plan, you may cancel before the change takes effect and receive a prorated refund for unused prepaid service.
2. Service Description
EclipseDesk provides AI automation for small businesses. The service may include email triage, invoice processing, receipt scanning, lead scoring, support tickets, exports, and related back-office workflows.
EclipseDesk is not a bookkeeper, lawyer, CPA, tax advisor, financial advisor, insurance advisor, or substitute for any licensed professional. You are responsible for decisions that require professional judgment or a license.
EclipseDesk uses artificial intelligence to process your business information. AI can make mistakes. You are responsible for reviewing AI-generated outputs before relying on them for any business, legal, financial, tax, accounting, insurance, employment, or compliance decision.
3. Pricing and Billing
Current public plans are:
- Starter: $149 per month plus a one-time $199 setup fee.
- Pro: $499 per month plus a one-time $199 setup fee.
- Enterprise: $1,499 per month plus a one-time $499 setup fee.
Annual plans are billed once per year at the annual price shown at checkout. Billing is monthly or annual based on what you choose at checkout.
Stripe handles payments. Your use of Stripe checkout and payment methods is also governed by Stripe's terms.
If a payment fails, we may retry the payment up to 3 times. If payment is still not made, we may suspend service after 7 days and close the account after 30 days.
The setup fee is non-refundable except during the 30-day money-back guarantee described below. Annual subscriptions are refundable only during the first 30 days of the initial purchase. After that, annual fees are not refundable except where required by law or expressly agreed in writing.
We may change prices with 30 days' notice. You may cancel before the new price applies.
You are responsible for sales tax, VAT, use tax, or similar taxes that apply in your location. We may refuse service, terminate accounts, or decline new customers at our discretion where allowed by law.
4. 30-Day Money-Back Guarantee
For your first purchase only, if you cancel within 30 days after the initial purchase date, we will refund the subscription charge and the setup fee.
Refunds are processed within 10 business days after approval. Your bank or card issuer may take longer to post the refund.
The guarantee does not apply to renewals, reactivated accounts, or later purchases unless we say so in writing.
You may lose the guarantee if you commit fraud, abuse the service, violate these Terms, abuse staff or contractors, or start a chargeback before contacting support unless the law gives you a non-waivable right to do so.
5. Acceptable Use
You must not use EclipseDesk to:
- Break the law or help someone else break the law.
- Send spam or unlawful marketing messages.
- Process data you do not have the legal right to process.
- Reverse engineer, decompile, scrape, copy, or try to extract source code.
- Resell, sublicense, rent, or timeshare the service.
- Upload malware or use the service to attack any system.
- Interfere with EclipseDesk or another customer's use of EclipseDesk.
- Use the service for adult content, gambling, weapons sales, controlled substances, or other regulated industries without written approval.
- Process protected health information. EclipseDesk is not HIPAA compliant.
- Process payment card data except through Stripe. EclipseDesk is not PCI-DSS certified for direct card storage or processing.
- Process EU personal data unless you have handled your own GDPR duties as data controller.
Each plan includes reasonable usage limits. We do not cut off normal customers mid-month for occasional higher use. If your usage is consistently above your plan, we may ask you to move to the right plan. Severe abuse may lead to suspension.
A violation may lead to immediate suspension or termination with no refund where allowed by law.
6. Customer Data and AI Training
You own your data.
You give EclipseDesk a limited license to process, transmit, store, analyze, and display your data only as needed to provide, secure, support, and improve the service.
We may use aggregate, anonymized usage data to improve EclipseDesk. Customer-specific data is not used to train models that benefit other customers.
We do not sell your data.
After account closure, we keep customer data for 90 days so you can export it or so we can handle account records. After that, we delete it unless we must keep it longer for legal, tax, security, backup, or dispute reasons. You may request export during an active subscription. You may request deletion at any time. Deletion requests are completed within 30 days unless a legal hold or required recordkeeping duty applies.
7. Third-Party Services
EclipseDesk may integrate with or depend on services such as Gmail, Outlook, QuickBooks, HubSpot, Salesforce, Stripe, Resend, Vercel, Postgres providers, Anthropic, Google, Groq, and similar providers.
Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for outages, errors, security incidents, policy changes, or data loss caused by a third-party service. If a third-party service changes or stops working, we will use reasonable efforts to provide an alternative, but we do not guarantee that every feature will continue forever.
8. Intellectual Property
EclipseDesk owns the software, systems, workflows, AI configurations, designs, branding, documentation, and methods used to provide the service.
You keep ownership of your data and content.
You own the outputs generated for your account, such as draft replies, extracted invoice data, receipt records, lead scores, exports, and reports, subject to our ownership of the underlying service and methods.
If you send feedback or suggestions, you give EclipseDesk a perpetual, worldwide, royalty-free right to use them to improve the service without owing you compensation.
9. Warranties and Disclaimers
EclipseDesk is provided "AS IS" and "AS AVAILABLE."
We do not promise that the service will be uninterrupted, error-free, secure against every possible threat, or fit your exact needs. We do not warrant the accuracy, completeness, or reliability of AI-generated content.
AI outputs may be wrong. You are responsible for reviewing outputs before relying on them.
To the maximum extent allowed by law, we disclaim all express, implied, statutory, and other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Where a jurisdiction does not allow a disclaimer, the disclaimer applies to the maximum extent allowed.
10. Limitation of Liability
To the maximum extent allowed by law, EclipseDesk's total liability for all claims is limited to the greater of:
- the amount you paid EclipseDesk in the 12 months before the claim, or
- $500.
This cap applies even if a remedy fails of its essential purpose.
EclipseDesk is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages. EclipseDesk is not liable for lost profits, lost revenue, lost data, business interruption, reputational harm, replacement services, or missed business opportunities.
Your exclusive remedy for service failure is to stop using the service and request any refund available under these Terms. Some jurisdictions do not allow certain limits, so those limits apply only to the maximum extent allowed.
11. Indemnification
You will defend, indemnify, and hold EclipseDesk harmless from claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from:
- your misuse of the service;
- your data, content, or instructions;
- your violation of these Terms;
- your violation of law;
- your violation of a third party's rights.
EclipseDesk will defend and indemnify you against claims that the unmodified EclipseDesk service directly infringes a third party's intellectual property rights. This does not apply to claims caused by your data, your instructions, your misuse, your modification, or combining EclipseDesk with other systems not provided by us.
12. Dispute Resolution and Arbitration
Before filing a claim, either party must give the other written notice and 30 days to try to resolve the issue informally.
Except for small-claims court matters, IP claims, non-payment, account misuse, or requests for emergency injunctive relief, disputes will be resolved by binding arbitration through the American Arbitration Association under its Commercial Arbitration Rules.
Arbitration will take place in Buffalo, New York, unless you choose a virtual hearing. New York law governs these Terms unless applying New York law would be unenforceable for your location.
You and EclipseDesk waive the right to a jury trial and class action. Claims must be brought individually, not as a class, collective, consolidated, or representative action.
You may opt out of arbitration within 30 days after signup by emailing legal@eclipsedesk.com with the subject "Arbitration Opt-Out" and the email used for your account. Opting out does not affect the rest of these Terms.
Where allowed by law, any claim must be brought within one year after the event giving rise to the claim.
13. Force Majeure
Neither party is liable for delay or failure caused by events outside reasonable control, including natural disasters, war, terrorism, labor issues, pandemics, government action, power failures, internet outages, cloud outages, payment processor outages, email provider outages, AI provider outages, or third-party service failures.
14. Termination
You may cancel anytime from the dashboard or by emailing support@eclipsedesk.com.
We may terminate immediately for cause, including violation of these Terms, non-payment, illegal use, security risk, fraud, abuse, or repeated harmful behavior.
We may terminate for convenience with 30 days' notice and a prorated refund for unused prepaid service.
After termination, we keep your data for 90 days for export and account records, then delete it unless retention is legally required.
15. Chargebacks
Please contact support before starting a chargeback so we can review and fix the issue.
Starting a chargeback without first contacting support may be treated as a breach of these Terms where allowed by law. It may lead to account suspension, termination, loss of discretionary refund rights, and recovery of chargeback fees where allowed. Fraudulent chargebacks may be disputed, sent to collections, or reported as allowed by law.
Nothing in this section limits a non-waivable right you may have under card network rules or consumer protection law.
16. Miscellaneous
These Terms and the Privacy Policy are the full agreement between you and EclipseDesk for the service.
If one part is unenforceable, the rest still applies. Our failure to enforce a term is not a waiver. You may not assign your account or these Terms without our consent. EclipseDesk may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
Notices may be sent by email to the addresses on file. Sections about payment, customer data, IP, disclaimers, liability, indemnification, arbitration, chargebacks, and any terms that should naturally survive termination will survive termination.
